This Agreement is made between Easy Caller LLC, a company duly incorporated under the laws of Delaware, USA, with its registered address at 651 North Broad Street, Suite 201, Middletown, DE 19709, from now on called "SIP Caller", and the applicant from now on called "Partner".

1.1. SIP Caller produces telecommunications software products, and hereby grants the Partner, acting as an independent business, the opportunity to sell & market SIP Caller software products, within their respective markets and under the conditions laid out in this Agreement. This is in no way a transfer of marketing rights, property rights, author rights, patented or non-patented rights.
1.2. SIP Caller maintains the right to amend or edit the SIP Caller Partner Program requirements and benefits when it deems fit, without prior notice.
1.3. The Partner shall market, promote, and direct potential customers to the products and/or services of SIP Caller.
1.2. The Partner will use its best efforts to actively and effectively advertise, market and promote the products and services as widely and aggressively as possible.
2.1. The Partner must include a link-back to the SIP Caller website.
2.2. SIP Caller must include a link-back to the Partner website.
3.1. The Partner will sell SIP Caller products and services to final customers, at the prices listed at https://sipcaller.com/pricing.
3.2. The customer will pay the full price of the subscription to the Partner. The Partner will deduct their commission, which will depend on the Partner Level, and then pay the remaining amount to SIP Caller, or the assigned distributor.
3.3. The Partner discount depends on the partner category:
3.4. A Certified Standard Partner is defined as a Partner that successfully passes the certification provided by SIP Caller. A Premium Partner is defined as a Partner that has at least 5 active paying customers during every month of the year, or sells USD/EUR/GBP 10.000 during the year (end user price).
3.5. A Premium Partner which fails to meet the target by midnight, UTC, 31st December, will be demoted to Standard Partner. Demotions take place on 1st January. On the 1st of January of each year, every Partner’s revenue balance is set to zero. Any revenue achieved which exceeds the requirements in a previous year will not be transferred to the next calendar year.
3.6. Commission will not be paid on sales taxes, duties, or any other charges related to the sale of the products and services.
3.7. End user prices are listed at https://sipcaller.com/pricing, and SIP Caller reserves the right to modify them at any time, with 30 days' notice to the Partner.
4.1. SIP Caller will send free sales leads to the Partner. The volume and frequency of the leads are subject to availability and geographic location of such leads.
4.2. The Partner will use its best efforts to follow up on any leads provided by SIP Caller.
5.1. The Partner commits to the following:
5.1.1. Offer 1st line support to their SIP Caller customers.
5.1.2. Display the SIP Caller Logo on their company’s website, including a description of SIP Caller and a link to SIP Caller’s website.
5.1.3. To sell SIP Caller subscriptions as per the prices listed on https://sipcaller.com/pricing.
5.1.4. To recommend only SIP Caller to any leads sent by SIP Caller.
5.1.5. To sell an independent SIP Caller subscription to each customer, and avoid providing outbound calling campaigns to different customers using the same SIP Caller account.
6.1. SIP Caller will provide the Partner with a free account for demonstration purposes.
6.2. The Partner agrees not to sell to customers or provide services using the free account provided by SIP Caller.
7.1. This Agreement is continuous.
7.2. This Agreement may be terminated by either party at any time, without written notice.
7.3. Upon termination, the Partner will be entitled to unpaid commissions, if any, earned by the Partner on or prior to the date of termination.
8.1. Each Party will indemnify, defend and hold the other Party harmless, including costs and attorneys' fees, from any claim or action brought by a third party relating to the negligence, gross negligence, or intentional misconduct of the other Party.
8.2. Neither Party shall be liable to the other for any special, indirect, incidental, punitive, or consequential damages arising from or related to this Agreement.
9.1. The Partner must comply with all data protection laws and regulations applicable to them in their handling of user data obtained in relation to this Agreement.
9.2. The Partner must not disclose, or allow any third party to access, any user data without the prior written consent of SIP Caller.
10.1. Each party agrees not to disclose or use the other's proprietary information without the prior written consent of the other party. This section shall remain in force even after termination of the Agreement.
11.1. This Agreement shall be governed by and construed in accordance with the laws of Delaware, USA. All disputes arising under or in relation to this Agreement shall be subject to the exclusive jurisdiction of the courts of Delaware, USA.
12.1. This Agreement constitutes the entire agreement between the Parties concerning this transaction, and replaces all previous communications, representations, understandings, and agreements, whether verbal or written between the Parties to this Agreement or their representatives.
